2020 Annual General Meeting

Executive Elections
The following individuals were elected by acclamation to APRM's Executive, serving in the following roles
Jay Shukin – President
Chris Moehr – Vice President
Kathleen Zimmerman – Treasurer
Rachel French – Secretary
Mark Atherton – Resource Group Chair (or Director at Large, per Constitutional Amendment noted below)
Ken Farquharson – Director at Large
Procedural rules also allow for Executive nominations to be made from the floor during the AGM.
Amendments to the APRM’s Constitution and Bylaws
Three amendments to the Constitution and Bylaws were passed unanimously:
Proposal 1 – Eliminate the Resource Group Chair as an Executive Position, replacing this with a second Director at Large

This amendment allows for a more flexible position on the APRM’s Executive by creating a second Director at Large role. This change also reflects the fact that the Resource Group has not been formally active for a considerable time.

There is no change to the overall number of executive positions, which remains at six.

The required changes would appear in section 7.0, with minor changes to sections 6.5 and 5.2.

Reference to the Resource Group is maintained, but this would be managed by the Executive.
Proposal 2 – Revise Section 1.4 to allow for a multi-year membership term. A two-year term is proposed.
This proposal would

Delete the current section 1.4: “All memberships are due for renewal by July 1 of the current year.”

Replace with: “The membership term shall be not less than one year, with fees, membership term and membership categories established by Executive resolution.”
Background:
-
Even before COVID-19 there were significant challenges to annually renewing the memberships of all of the 250-300 individuals.

In May, the Executive passed a resolution extending memberships to all of the individuals currently on the membership list through 2020. This was done to address the challenges of holding large gathers due to COVID-19. We’d like to build on that strengthened membership by doing the following:

extending the term to 2 years from a single year

Adjust fees accordingly to $10, as opposed to $5 per year.

Simplify our membership categories so that we offer only “individual” memberships. This would mean removing the “Family” and “Sustaining Member” categories.
Proposal 3 – Editing clean-up (capital letters, titles, punctuation, formatting).

This includes various revisions to address typos and consistency issues in the Constitution. Making these revisions will tidy-up the Constitution and confirm the Official version.

There is one revision of note included in this proposal: in section 13 (Inspection of Books) we would delete the requirement for sharing the membership list with any member on request. This change is proposed for information privacy reasons. There is no change to the right to inspect the APRM’s books.
